Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sidegent platform available at sidegent.com and app.sidegent.com ("Platform"), operated by Farhan Helmy as a sole proprietor ("we", "us", "our").

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • "Platform" means the Sidegent web application, APIs, embeddable widgets, and related services.
  • "Organisation" means a workspace created on the Platform under which agents, knowledge bases, and billing are managed.
  • "Credits" means the prepaid service units purchased or granted on the Platform, used to consume AI features.
  • "Agent" means an AI assistant configured and deployed through the Platform.
  • "End User" means any person who interacts with an Agent deployed by you (e.g. via an embedded chat widget).

2. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at farhan@sidegent.com if you suspect unauthorised access to your account.

4. Credits and Billing

4.1 Prepaid Credits

The Platform operates on a prepaid credit system. You purchase Credits in advance, and Credits are deducted as you use AI features on the Platform.

4.2 Credit Value

Credits are a service unit for the Platform only. Credits have no cash value, cannot be transferred to other users, cannot be exchanged for cash, and cannot be used outside the Platform.

4.3 Pricing

Credit packages and pricing are displayed on the Platform at the time of purchase. We reserve the right to change credit pricing at any time. Price changes do not affect Credits already purchased.

4.4 Credit Consumption

Credits are consumed based on the AI resources used (such as language model token usage). The cost per interaction varies depending on the complexity and length of the AI response. Credit consumption rates are subject to change with reasonable notice.

4.5 No Expiry

Purchased Credits do not expire for as long as your account remains active and in good standing.

4.6 No Refunds

All Credit purchases are final and non-refundable. By completing a purchase, you acknowledge and agree that no refunds will be issued for unused Credits.

4.7 Starter Credits

We may grant complimentary starter Credits to new Organisations. These promotional Credits are subject to the same terms as purchased Credits, except that we reserve the right to expire or revoke promotional Credits at our discretion with reasonable notice.

4.8 Payment Processing

Payments are processed by Stripe, Inc. By making a purchase, you also agree to Stripe's terms of service. We do not store your credit card details.

5. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law or regulation, including the laws of Malaysia.
  • Generate, distribute, or facilitate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Attempt to gain unauthorised access to the Platform, other accounts, or any related systems.
  • Interfere with or disrupt the Platform or its infrastructure.
  • Use the Platform to build competing products or services, or reverse-engineer the Platform.
  • Deploy Agents that provide medical, legal, or financial advice without appropriate disclaimers and professional oversight.
  • Use the Platform for automated scraping, data harvesting, or any activity that places unreasonable load on the infrastructure.

We reserve the right to suspend or terminate accounts that violate these restrictions.

6. Your Content and Data

6.1 Ownership

You retain all rights to the content you upload to the Platform, including knowledge base documents, agent configurations, and conversation data ("Your Content").

6.2 Licence to Us

You grant us a limited, non-exclusive licence to process Your Content solely for the purpose of providing the Platform services to you. We will not use Your Content for training AI models or share it with third parties except as necessary to deliver the service (e.g. sending prompts to the underlying AI provider).

6.3 Responsibility for End Users

If you deploy Agents that interact with End Users, you are responsible for obtaining any necessary consents from those End Users, including consent for data collection and AI-generated responses.

7. AI-Generated Content

  • Responses generated by Agents are produced by third-party AI models (currently via Amazon Web Services Bedrock).
  • AI-generated content may be inaccurate, incomplete, or misleading. You should not rely on AI-generated content as professional advice.
  • You are solely responsible for reviewing and validating any AI-generated content before acting on it or sharing it with End Users.
  • We do not guarantee the accuracy, reliability, or appropriateness of any AI-generated content.

8. Privacy and Data Protection

We process personal data in accordance with the Personal Data Protection Act 2010 (Malaysia) and our Privacy Policy. By using the Platform, you consent to the collection and processing of your data as described in the Privacy Policy.

Your data may be processed by third-party services including Amazon Web Services (cloud infrastructure and AI models), Stripe (payment processing), and any other service providers disclosed in our Privacy Policy.

9. Service Availability

  • The Platform is provided on an "as is" and "as available" basis.
  • We do not guarantee uninterrupted or error-free service.
  • We may perform maintenance, updates, or modifications to the Platform at any time, which may result in temporary unavailability.
  • We rely on third-party AI providers. Changes to or unavailability of these providers may affect the Platform.

10. Limitation of Liability

To the fullest extent permitted by Malaysian law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount of Credits purchased by you in the twelve (12) months preceding the claim.
  • We are not liable for any loss or damage resulting from AI-generated content, service interruptions, or unauthorised access to your account where such access was not caused by our negligence.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your deployment of Agents and their interactions with End Users.
  • Your Content or any content generated through your use of the Platform.

12. Intellectual Property

The Platform, including its design, code, branding, and documentation, is owned by us and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

13. Account Suspension and Termination

  • We may suspend or terminate your account at any time if you breach these Terms or engage in activity that we reasonably believe is harmful to the Platform or other users.
  • You may close your account at any time by contacting us at farhan@sidegent.com.
  • Upon termination, any remaining Credits in your account are forfeited and non-refundable.
  • We will make reasonable efforts to allow you to export Your Content before account deletion, subject to a 30-day grace period after termination.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after such notification constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

16. Consumer Protection

Nothing in these Terms excludes or limits any rights you may have under the Consumer Protection Act 1999 (Malaysia) or any other mandatory consumer protection legislation that cannot be contractually excluded.

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, internet outages, third-party service failures, or government actions.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
